Program Terms & Conditions

These Program Terms & Conditions apply to participation in programs offered by MSP Incubator, LLC, including MSP Sales Growth, qualified meeting support, referral activity, partner participation, and related business-development services.

1. Scope of These Program Terms

These Program Terms supplement our website Terms of Use and Privacy Policy. If you enter into a separate written agreement, order form, statement of work, pricing schedule, or other accepted program document, that document controls to the extent it conflicts with these Program Terms.

2. Program Overview

MSP Incubator offers business-development support intended to create, qualify, coordinate, and advance potential customer opportunities for MSPs and related participants.

Program activities may include:

  • Prospect research and validation
  • Appointment generation and scheduling
  • Qualification support
  • Sales-process coordination
  • Closer or account-executive participation
  • Partner, vendor, or distributor coordination
  • Opportunity handoff and follow-up support

3. No Guarantee of Acceptance or Results

Participation in a program is subject to review and approval. Submitting a form, booking a call, or discussing a program does not guarantee acceptance.

MSP Incubator does not guarantee:

  • A specific number of meetings or opportunities
  • A specific buying timeline, close rate, or revenue amount
  • A particular prospect profile or deal outcome
  • Vendor, partner, or distributor approval
  • Any specific business result

4. Participant Responsibilities

Participants are responsible for:

  • Providing accurate business and contact information
  • Defining target markets, fit criteria, and exclusions
  • Promptly reviewing meeting invitations and opportunity details
  • Attending accepted meetings when applicable
  • Responding professionally and in a timely manner
  • Maintaining appropriate licensing, coverage, and authorizations
  • Managing pricing, proposals, contracts, service delivery, and support

5. Opportunity Definitions

We may use labels such as initial appointment, program appointment, shown appointment, or qualified opportunity to describe different stages of a prospect relationship.

Unless otherwise agreed in writing, those labels describe an opportunity for review and sales engagement. They do not guarantee that a prospect will buy, proceed to proposal, or sign an agreement.

6. Review and Disputes

Participants are responsible for reviewing opportunity summaries, meeting invitations, notes, transcripts, recordings, Sense Sheets, or related documentation shared by MSP Incubator.

Unless a separate written agreement provides otherwise, disputes or rejections should be submitted in writing within forty-eight (48) hours after the relevant opportunity information is delivered.

7. Pricing, Fees, and Billing

Fees may include appointment fees, shown appointment fees, setup fees, monthly program fees, closer fees, residual fees, success fees, or other charges described in the applicable written agreement or program election.

Specific pricing, billing triggers, payment terms, and monthly caps are determined by the applicable program documentation, not by this public policy page alone.

8. Residual or Success-Based Compensation

If a separate written agreement includes residual or success-based compensation, that agreement will control the calculation method, exclusions, reporting obligations, and duration of the obligation.

9. Non-Circumvention and Prior Relationships

Participants may not bypass, avoid payment to, or improperly interfere with MSP Incubator regarding prospects, sources, partner relationships, or opportunities first disclosed, introduced, scheduled, validated, or supported by MSP Incubator.

If you believe a prospect or source was already known to you before our introduction, you should notify us promptly and provide reasonable supporting documentation.

10. Confidentiality

Each party may receive non-public information in connection with program participation, including prospect information, pricing, sales strategy, qualification notes, recordings, transcripts, CRM records, and other confidential materials.

Participants must use such information only for legitimate program purposes and must protect it from unauthorized access, use, or disclosure.

11. Customer Agreements and Service Delivery

Unless otherwise agreed in writing, MSP Incubator is not responsible for customer contracts, final pricing, implementation, onboarding, support, billing, collections, technical delivery, or customer satisfaction.

Participants remain solely responsible for determining whether to accept a customer and for managing all downstream service and contract obligations.

12. Suspension or Termination

Unless a separate written agreement provides otherwise, MSP Incubatormay suspend or terminate participation for reasons such as non-payment, poor responsiveness, missed meetings, misrepresentation, compliance concerns, misuse of confidential information, circumvention, or lack of program fit.

13. Disclaimer of Warranties

Programs, opportunities, introductions, meetings, prospect information, and related support are provided on an "as is" and "as available" basis unless otherwise stated in a written agreement. We disclaim all warranties to the fullest extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by law, MSP Incubator and its owners, officers, employees, contractors, affiliates, vendors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from or related to program participation or opportunity information.

Unless a separate written agreement states otherwise, total liability will not exceed the amount actually paid by the participant to MSP Incubator for the applicable program during the three months immediately preceding the event giving rise to the claim.

15. Governing Law

These Program Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Unless a separate written agreement states otherwise, disputes will be brought in the state or federal courts located in Davidson County, Tennessee.

16. Changes to These Terms

We may update these Program Terms from time to time. Updated terms are effective when posted unless otherwise stated. Continued participation after updates are posted or provided means you acknowledge the updated Program Terms.
